Terms of Service

1. Acceptance of Terms
By accessing or using the CATAAM platform ("Service") provided by TheMarkups Canada Inc. ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree with any part of these Terms, you must not use the Service.
2. Description of Service
CATAAM is a Governance, Risk, and Compliance (GRC) management platform that provides:
- Compliance framework management (SOC 2, ISO 27001, HIPAA, PCI-DSS, NIST CSF, COBIT 5, and others)
- Automated audit progress tracking and evidence management
- Partner and reseller management tools for CISOs and CPA firms
- Executive reporting and risk scoring
- Vendor risk management and attack surface monitoring
- Marketplace for discovering compliance service providers
3. Account Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must notify us immediately at contact@themarkups.com of any unauthorized use of your account.
4. Partner and Reseller Accounts
CISO Resellers and CPA Partner accounts are subject to additional terms:
- Partners may onboard and manage client organizations on their behalf
- Partners are responsible for ensuring their clients comply with applicable laws
- Partner billing is post-paid on a monthly basis at the rate of $99 per framework per client organization per month (or as updated in the platform)
- Partners must maintain accurate billing information and pay invoices within 30 days of issuance
- The Company reserves the right to suspend partner accounts for non-payment
5. Subscription Plans and Payment
Access to certain features requires a paid subscription. Fees are charged in advance on a monthly or annual basis. All fees are in USD unless otherwise stated.
We use Stripe to process payments. By providing payment information, you authorize us to charge your payment method for all applicable fees. All charges are non-refundable except as described in our Refund Policy.
We reserve the right to change pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of new pricing.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Attempt to gain unauthorized access to any part of the Service or related systems
- Upload malicious code, viruses, or disruptive data
- Resell or sublicense the Service without explicit written permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit infringing, libelous, or unlawful material
7. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you submit to the Service ("Customer Data").
You grant us a limited, non-exclusive license to process Customer Data solely to provide the Service. We do not sell your data to third parties.
8. Intellectual Property
The Service, including all software, designs, logos, and content, is owned by TheMarkups Canada Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or logos.
9. Service Availability and SLA
We strive to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. Our target uptime is 99.9% for standard plans and 99.99% for professional plans, measured monthly.
10. Limitation of Liability
To the maximum extent permitted by law, TheMarkups Canada Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total cumulative liability shall not exceed the amount paid by you to us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless TheMarkups Canada Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate the agreement at any time. Upon termination, your access to the Service will cease. You may export your data before termination. We may retain anonymized data for analytics purposes.
Sections covering payment obligations, intellectual property, limitation of liability, and dispute resolution survive termination.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Mississauga, Ontario, Canada, except where prohibited by law.
14. Changes to Terms
We may update these Terms at any time. We will notify you by email or in-platform notice at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance.
